Terms of Service
THESE TERMS OF SERVICE TOGETHER WITH ANY ACCEPTED ORDERS (THE “AGREEMENT”) IS A LEGAL AGREEMENT BETWEEN THE PARTNER IDENTIFIED IN AN ORDER OR OTHERWISE ACCESSING OR USING THE SERVICES (“PARTNER” OR “YOU”), AND EMPATH CYBER, INC., A FLORIDA CORPORATION WITH A PLACE OF BUSINESS AT 1002 HASTINGS CT (“EMPATH” or “we” or “us”). BY CLICKING TO ACCEPT, CHECKING THE BOX PRESENTED AT CHECKOUT, ELECTRONICALLY SIGNING, OR OTHERWISE COMPLETING AN ORDER THROUGH EMPATH’S SELF-SERVICE PORTAL OR OTHER ONLINE CHECKOUT AFTER BEING PRESENTED WITH THIS AGREEMENT AND THE APPLICABLE ORDER, YOU ARE ACCEPTING ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, INCLUDING WITHOUT LIMITATION THE RECURRING BILLING, AUTOMATIC RENEWAL, BINDING SUBSCRIPTION TERM, CANCELLATION, AND PRICING TERMS DESCRIBED IN THE APPLICABLE ORDER AND IN SECTIONS 5 AND 6 BELOW. IF YOU DO NOT AGREE TO THESE TERMS OF SERVICE, YOU MAY NOT USE THE SERVICES. YOU AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN AGREEMENT SIGNED BY YOU.
IF YOU ARE USING THE SERVICES AS AN EMPLOYEE, CONTRACTOR, OR AGENT OF A CORPORATION, PARTNERSHIP OR SIMILAR ENTITY, THEN YOU MUST BE AUTHORIZED TO SIGN FOR AND BIND SUCH ENTITY IN ORDER TO ACCEPT THE TERMS OF THIS AGREEMENT, AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO DO SO. THE RIGHTS GRANTED UNDER THIS AGREEMENT ARE EXPRESSLY CONDITIONED UPON ACCEPTANCE BY SUCH AUTHORIZED PERSONNEL.
BY CHECKING THE ACCEPTANCE BOX ON EMPATH’S SELF-SERVICE PORTAL, PARTNER ACKNOWLEDGES AND AGREES THAT: (I) PARTNER HAS READ AND UNDERSTANDS THIS AGREEMENT IN ITS ENTIRETY, INCLUDING THE AUTOMATIC RENEWAL AND BINDING SUBSCRIPTION TERM PROVISIONS; (II) PARTNER’S ELECTRONIC ACCEPTANCE CONSTITUTES A LEGALLY BINDING SIGNATURE AND AGREEMENT; AND (III) A RECORD OF PARTNER’S ACCEPTANCE, INCLUDING THE DATE, TIME, AND IDENTITY OF THE ACCEPTING INDIVIDUAL, WILL BE MAINTAINED BY EMPATH AS EVIDENCE OF ASSENT.
AGREEMENT
The “Effective Date” of this Agreement is the earlier of (a) the date Partner first accepts this Agreement as described above, or (b) the effective date of the first Order referencing this Agreement. This Agreement will govern Partner’s initial purchase on the Effective Date as well as any future purchases made by Partner that reference this Agreement. “Order”means an ordering document, quote, CPQ-generated quote, order summary, checkout page, online checkout flow, or other ordering record accepted by Partner that identifies the Services, Subscription Term, pricing, seat counts, ramp or phased pricing (if any), billing cadence, automatic renewal terms, and any other applicable commercial terms. Purchase from Reseller: If Partner purchases the Services from an authorized reseller of Empath (“Reseller”), Partner’s use of the Services will be governed by this Agreement, except that Partner will pay Reseller for the Services.
1.0 USE OF SERVICE
1.1. Service License and Access. Empath grants Partner a non-exclusive, non-transferable license to access and use the Empath employee training and development services (the “Services”) during the term designated in an Order (the “Subscription Term”), solely for use by Partner and persons designated and granted access to the Services by Partner (“Users”), in accordance with: (a) the terms and conditions of this Agreement; (b) the materials that Empath makes generally available to its customers describing the use and/or functionality of the Services (“Documentation”); and (c) the applicable Order. Partner shall be responsible for each User’s compliance with this Agreement. “Affiliate” means an entity that, directly or indirectly, owns or controls, is owned or is controlled by, or is under common ownership or control with a party. As used herein, “control” means the power to direct the management or affairs of an entity and “ownership” means the beneficial ownership of more than fifty percent (50%) of the voting equity securities or other equivalent voting interests of an entity. “Contractor” means the independent contractors and consultants permitted by Partner to serve as Users of the Services. Documentation may be provided, in any form, such as electronic, print or magnetic media, and includes product user manuals, reference manuals and installation guides or on-line help. Empath shall provide the Services in accordance with the terms of this Agreement and the applicable Order.
1.2. Affiliates. Partner Affiliates may purchase services from Empath directly by entering into an Order with Empath referencing this Agreement. By such Affiliate entering into an Order hereunder, the Affiliate agrees to be bound by the terms of this Agreement as if it were an original party hereto and for purposes of such Order, shall also be deemed “Partner” hereunder. Unless stated otherwise on an Order, Partner and its Affiliates who sign Orders under this Agreement shall be deemed to be jointly liable for a breach of this Agreement.
1.3. Partner Requirements. Partner will identify one individual to be Empath’s primary Partner contact and another individual to be the secondary contact. Partner represents that these people have authorization to make decisions on behalf of Partner and may be relied upon by Empath when providing Services.
1.4. Use and Restrictions. (a) Partner agrees to access and use the Services only for the lawful purposes as set forth herein and in accordance with any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions (including any laws regarding the export of data or software to and from the United States, or the export laws of other relevant countries as amended from time to time). (b) The Services shall not be used to publish, submit/receive upload/download, post, use, copy or otherwise reproduce, transmit, re-transmit, distribute or store any content/material or to engage in any activity that infringes, misappropriates or otherwise violates the intellectual property rights or privacy or publicity rights of Empath or any individual, group or entity, including but not limited to any rights protected by any copyright, patent, trademark laws, trade secret, trade dress, right of privacy, right of publicity, or other intellectual property right now known or later recognized by statute, judicial decision or regulation. Partner may not use the Services in any manner which: (i) interferes with or disrupts the Services (or the servers and networks which are connected to the Services); (ii) impacts the privacy, integrity or security of Empath or other users of the Services; (iii) violates any local, state, federal or international law or regulation; or (iv) allows unauthorized access to or use of the Services, provided that Partner’s use in accordance with this Agreement shall not be deemed in violation of the foregoing. Partner may not attempt to probe, scan, penetrate or test the vulnerability of a Empath system or network, or to breach Empath’s security or authentication measures, whether by passive or intrusive techniques, without Empath’s express written consent. At Empath’s reasonable discretion, the Services may be suspended in accordance with Section 6.6 or terminated in accordance with Section 6.4 for any violation of this Section 1.4. Empath shall promptly reinstate suspended Services when the reasons for the suspension are cured. (c) Partner will not (and will not permit any third party to): (i) sell, rent, lease, license, distribute, provide access to, sublicense, or otherwise make available the Services to a third party (except as expressly set forth in Section 1.1 with respect to Contractors and Affiliates or in a service bureau or outsourcing offering); (ii) use the Services for the benefit of a third party; (iii) reverse engineer, decompile, or otherwise seek to obtain the source code or non-public APIs to the Services, except to the extent expressly permitted by applicable law (and then only upon advance written notice to Empath); or (iv) remove or obscure any proprietary or other notices contained in the Services.
2.0 PARTNER DATA
2.1. Rights in Partner Data. “Partner Data” means any data that is (i) uploaded by or on behalf of Partner to the Services. As between the parties, Partner or its licensors retain all right, title and interest (including any and all intellectual property rights) in and to the Partner Data. Subject to the terms of this Agreement, Partner hereby grants to Empath a non-exclusive, worldwide, royalty-free right to use, copy, store, transmit, modify, create derivative works of, and display the Partner Data solely to the extent necessary to provide the Services to Partner, or to prevent or address service or technical problems under this Agreement, or as may be required by law.
2.2. Uploads of Partner Data. Partner will be responsible for uploading all Partner Data to the Services and will provide such Partner Data in a format consistent with the requirements set forth in the Documentation. Errors in loading Partner Data may cause Partner Data to be rejected by the Services and Empath will have no responsibility for any related impact on Partner’s ability to access or use the Services.
2.3. Partner Data Integrity. Partner is solely responsible for the accuracy, content and legality of all Partner Data. Partner represents and warrants that Partner has sufficient rights in the Partner Data to grant the rights granted to Empath in Section 2.1 and that the Partner Data does not infringe or violate the intellectual property, publicity, privacy or other rights of any third party.
2.4. User ID and Password Protection. Partner will require that all permitted Users keep user ID and password information strictly confidential and not share such information with any unauthorized person. Empath will have no liability for actions taken using Partner’s user IDs and passwords, including any unauthorized use or access caused by misuse or misappropriation of such user IDs and passwords caused by Partner’s failure to maintain the confidentiality of such user ID and password information. Partner will be responsible for restricting access by any User who is no longer authorized to access the Services.
2.5 Security and Compliance The Empath team has extensive experience in the cybersecurity industry. We understand the significance and sensitivity of the data that might pass through our system, as well as the level of access often required by Empath to perform business critical tasks. We are committed to best commercially available practices in keeping data safe and securing access. Empath maintains the following protocols as of the date hereof:
2.5.1 User Account Security Empath does not handle user authentication internally. Instead, we authenticate users through Microsoft Azure AD using the oAuth protocol via Frontegg, a commercially available authentication provider for SaaS applications. As such, it would be very difficult for an attacker to access a user’s account in Empath without first gaining access to their Microsoft Azure AD account. Proper security measures should be implemented in Microsoft Azure AD, such as requiring MFA for all users.
2.5.2 Change Management Every pull request is required to be peer reviewed and approved by at least one other software developer before it can be signed off on and merged by a manager. Special care and attention is paid to certain changes that touch parts of the code known to have security implications such as authentication, permissions, and tenancy.
We use Github for continuous integration. This allows us to run all code changes through a pipeline of tools that run automated code tests, check code quality and security, as well as scan dependencies for vulnerabilities and alert us to security patches.
2.5.3 Cloud Infrastructure Empath uses Amazon Web Services (AWS) to host all of our code and related services. Platform code is deployed Amazon Amplify inside a Virtual Private Cloud (VPC). Empath deploys completely separate VPC environments for QA, production, and general use. Additionally, we use a private/public subnet architecture where all databases and services are deployed to the private subnet and are only accessible to public subnet resources, such as load balancers, via security groups. Direct access to resources on the private subnet is only possible if an employee has a VPN connection to the network. This architecture allows for resource isolation and the ability to have fine grained control over which services can access each other.
2.5.4 Penetration Testing Empath engages third-party organizations to run pen tests on our platform and infrastructure on a regular basis, usually once a year at a minimum. We take these reports seriously. We prioritize and remediate any vulnerability or security posture issues as soon as we are made aware.
2.5.5 Monitoring and Logging Empath workflow logs are readily available in the app and can be viewed on the Results page. Additionally, Empath implements a suite of tools internally to monitor and alert on the health and activity of the platform. We use Sentry for error reporting and monitoring the performance of our code.
2.5.6 Future Modifications Empath endeavors to maintain commercially reasonable best practices in the areas of compliance and security and in doing so may modify, alter or vary its Security and Compliance practices, policies and protocols from time to time, with or without notice to the Partner.
2.6 Service Levels While it is impossible to guarantee access at all times, Empath anticipates that its system, other than for planned and pre-announced outages, will have an average up-time of 99.9% over the course of a typical calendar year.
3.0 INTELLECTUAL PROPERTY
3.1. Empath Technology. Except for the limited license granted under Section 1.1, and open source components, Empath reserves and retains all right, title and interest in and to the Services and any and all: (a) copies, reproductions, modifications, enhancements, adaptations, implementations, translations and other derivative works thereof; and (b) inventions, improvements, know-how, specifications, performance characteristics, designs, plans, methods, procedures, processes, techniques, software, technology, concepts, information or materials whatsoever comprising, relating to, based on or arising out of the provision of any Services, (collectively the Services and (a) and (b) are the “Empath Technology”); including the sole and exclusive ownership of all intellectual property rights relating thereto. Except as expressly provided in Section 1.1, no other licenses or other rights are transferred or granted to Partner, including any license by implication, estoppel or otherwise, or under any patent, trade secret, trademark or copyright. Further, Partner acknowledges that the Services are offered as an online, hosted solution, and that Partner has no right to obtain a copy of the underlying computer code for the Services. Notwithstanding anything to the contrary herein, Empath may freely use and incorporate into Empath’s products and services any suggestions, enhancement requests, recommendations, corrections, or other feedback provided by Partner or by any users of the Services relating to Empath’s products or services (“Feedback”).
3.2. Service Data. “Service Data” means any data (other than Partner Data) relating to the operation, maintenance, functioning and support of the Services. Notwithstanding anything to the contrary in this Agreement, Empath has the right to collect and use Service Data to develop, improve, support, and operate its products and services during and after the term of this Agreement. This Section does not give Empath the right to identify Partner as the source of any Service Data without written permission from Partner.
3.3. Marketing. Empath may use and display Partner’s name, logo, trademarks, and service marks on Empath’s website and in Empath’s marketing materials in connection with identifying Partner as a customer of Empath only with Partner’s prior written consent. Upon Partner’s written request, Empath will promptly remove any such marks from Empath’s website and, to the extent commercially feasible, Empath’s marketing materials. If Empath requests, Partner may agree, in its sole discretion, to participate in a case study, press release and/or cooperate with Empath in speaking to the media, and to speak at a future Empath event.
4.0 CONFIDENTIALITY
4.1. Either Party (the “Disclosing Party”) may from time to time disclose Confidential Information (as defined below) to the other Party (the “Recipient”). As used herein, “Confidential Information” shall mean information that is disclosed by the Disclosing Party to the Recipient which is identified or reasonably understood to be confidential or proprietary, including but not limited to the following: (a) all information, data, reports, analyses, compilations, records, notes, summaries, discussions, studies, sketches, graphs, designs, photographs, drawings and other materials (in whatever form or media maintained) containing or reflecting information relating to a Disclosing Party, assets, liabilities, properties, accounts, financial information, budgets, operations, marketing studies, plans and materials, services, products, processes, trade secrets, intellectual property or other proprietary rights, know-how, concepts, ideas, inventions, discoveries, research and development, business plans, models or strategies, manufacturing or distribution methods, processes or systems, software and related documentation, object code, source code, database technologies, systems, structures, architectures, customers, customer lists, vendors, suppliers, advertisers, personnel, training techniques, pricing and other proprietary information, that may hereafter be disclosed, provided or made available to Recipient or its Representatives (as defined below), or to which Recipient or its Representatives otherwise become aware or gain access or possession; (b) all data, reports, analysis, compilations, extracts, summaries, writings, studies, interpretations, forecasts, records or other materials (whether documentary, electronic or otherwise) prepared by or on behalf of the Disclosing Party or any of its Representatives, that relate to or are based on or contain any of the information listed in (a) above or that reflect a summary or review or evaluation of any of the business, plans, operations, data, documents or customers and advertisers of the Disclosing Party; (c) the existence of any discussions or negotiations between the Parties; and/or (d) any other information which is marked or expressly designated as “Confidential” by the Disclosing Party or its Representatives, or by reason of its nature would reasonably be concluded to be of a confidential nature. For clarity, Partner Data shall be the Confidential Information of Partner. The term Confidential Information shall not include any information that: (i) is or becomes generally available to the public other than as a result of a breach of this Agreement by Recipient or its Representatives; (ii) was known by the Recipient or its Representatives without restriction on use or disclosure prior to the date of this Agreement (except for any information provided to it by the Disclosing Party in contemplation of this Agreement); (iii) is subsequently disclosed by a third party not under any confidentiality obligation to the Disclosing Party; (iv) is developed independently by the Recipient without reliance on the Disclosing Party’s Confidential Information; or (v) is otherwise approved by written authorization from the Disclosing Party. “Representatives” shall mean directors, officers, employees, contractors, agents, legal and accounting advisers, and entities controlled by the Receiving Party.
4.2. The Recipient shall use, and ensure that its Representatives use, reasonable care, at least as protective as the efforts it uses with respect to its own confidential information, to safeguard the Disclosing Party’s Confidential Information from use or disclosure other than as permitted hereby.
4.3. Exceptions. If the Recipient becomes legally compelled to disclose any Confidential Information, the Recipient shall: (a) to the extent legally permissible, provide prompt written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate remedy or waive its rights under this Section; and (b) disclose only the portion of Confidential Information that it is legally required to produce. If a protective order or other remedy is not obtained, or the Disclosing Party waives compliance, the Recipient shall, at the Disclosing Party’s expense, use reasonable efforts to obtain assurance that confidential treatment will be afforded the Confidential Information. Upon termination of this Agreement or at the written request by the Disclosing Party, the Recipient shall return all copies of Confidential Information in its possession or certify in writing to the Disclosing Party that its Confidential Information has been destroyed. This Section shall survive any termination, cancellation or expiration of this Agreement.
4.4. Each party acknowledges that the breach or threatened breach of this Section 4.0 by the Recipient would cause irreparable harm to the Disclosing Party, the amount of which would be impossible to estimate, thus, making any remedy at law inadequate. The Recipient therefore agrees that the Disclosing Party shall have the right to apply to any court of competent jurisdiction for and be granted injunctive relief without the posting of any bond or other security. This right shall be in addition to any other remedy available under this Agreement, at law or in equity.
4.5 If Empath and Partner executed a Mutual Non-Disclosure Agreement (an “NDA”) prior to execution of this Agreement, the terms of the NDA shall apply and to the extent inconsistent with the terms of Sections 4.1-4.4 of this Agreement, the NDA shall govern and shall not be terminated until this Agreement is terminated.
5.0 FEES AND PAYMENTS; TAXES; PAYMENT DISPUTES
5.1. Fees and Payment. All fees payable by Partner for the Services are as set forth in the applicable Order (“Fees”). Unless otherwise stated in the applicable Order, Partner shall pay invoiced Fees within 30 days of receipt of invoice, subject to amounts disputed by Partner in accordance with Section 5.4. For Orders placed through Empath’s self-service portal or otherwise paid by card, ACH, or another automatic payment method, Partner authorizes Empath and its payment processors to charge Partner’s designated payment method on a recurring basis for Fees, applicable Taxes, additional seats, overages, and other amounts due under the applicable Order until the applicable Order is terminated or expires without renewal. Partner’s completion of an Order through the self-service portal using a single checkbox or similar assent mechanism constitutes Partner’s affirmative consent to the Subscription Term selected in the applicable Order, automatic renewal for successive terms of equal length, recurring charges, applicable per-seat charges, and any introductory, phased, or ramp pricing disclosed in the applicable Order and this Agreement. Except as expressly set forth in this Agreement, all payment obligations are non-cancelable during the then-current Subscription Term and Fees are non-refundable.
5.2. Per-Seat Pricing and Ramp Pricing. Fees for the Services are calculated on a per-authorized-user-license (“per seat”) basis as set forth in the applicable Order or CPQ tool. Where an introductory, phased, or ramp pricing schedule is offered, the monthly price per seat may vary during the Initial Term as set forth in the applicable Order. Upon any renewal, all renewal periods shall be billed at the final recurring monthly price in effect during the last month of the expiring Subscription Term, unless the applicable Order expressly states a different renewal price, regardless of any introductory or phased pricing schedule applied during the Initial Term. Partner may add additional user licenses or seats during the Subscription Term or any renewal term. Unless otherwise stated in the applicable Order, any additional seats will be billed at the per-seat rate set forth in the applicable Order, prorated for the remainder of the then-current billing cycle, and thereafter included in recurring charges. Any such additional seats will be considered part of the recurring subscription and will carry forward into any renewal term unless removed by Partner through the self-service portal or by written notice at least thirty (30) days before the applicable renewal date or, for monthly Subscription Terms, before the next monthly renewal date.
5.3. Taxes. Fees do not include sales, use and similar taxes assessed on the provision of the Services, excluding Empath’s net income (“Taxes”). Partner is responsible for paying all Taxes associated with its purchases hereunder other than taxes based on income, property, or employees of Empath. If Empath has the legal obligation to pay or collect Taxes for which Partner is responsible under this Section, Empath will invoice Partner and Partner will pay that amount unless Partner provides Empath with a valid tax exemption certificate authorized by the appropriate taxing authority.
5.4. Payment Disputes. Empath will not exercise its rights under Section 6.4 (Termination for Cause) or Section 6.6(a) (Suspension of Service) with respect to non-payment by Partner if Partner is disputing the applicable charges reasonably and in good faith and is cooperating diligently to resolve the dispute. If the parties are unable to resolve such a dispute within thirty (30) days, each party shall have the right to seek any remedies it may have under this Agreement, at law or in equity, irrespective of any terms that would limit remedies on account of a dispute. For clarity, any undisputed amounts must be paid in full.
6.0 TERM, AUTO-RENEWAL, AND TERMINATION
6.1. Subscription Term. This Agreement is effective as of the Effective Date and will remain in effect until terminated in accordance with its terms. Each Order will begin on the start date specified in the applicable Order and continue for the initial subscription term stated in that Order (the “Subscription Term” or “Initial Term”). The Subscription Term may be any fixed duration stated in the applicable Order, including monthly, annual, or multi-year terms. The applicable Order or checkout flow will identify the selected Initial Term, renewal term length, billing cadence, and applicable pricing, including any ramp or phased pricing, before Partner submits the Order. Partner shall pay monthly payments in advance during the Subscription Term. All payments are non-refundable under any circumstances. If there is no Order currently in effect, either party may terminate this Agreement upon written notice to the other party.
6.1.1. Automatic Renewal. UPON EXPIRATION OF THE INITIAL TERM OR ANY RENEWAL TERM, EACH ORDER WILL AUTOMATICALLY RENEW FOR SUCCESSIVE SUBSCRIPTION TERMS EQUAL IN LENGTH TO THE EXPIRING SUBSCRIPTION TERM (E.G., A ONE-YEAR SUBSCRIPTION RENEWS FOR AN ADDITIONAL ONE-YEAR TERM; A TWO-YEAR SUBSCRIPTION RENEWS FOR AN ADDITIONAL TWO-YEAR TERM; A MONTHLY SUBSCRIPTION RENEWS FOR AN ADDITIONAL MONTHLY TERM) UNLESS PARTNER EXERCISES ITS OPT-OUT RIGHT IN ACCORDANCE WITH SECTION 6.1.2 BELOW OR, FOR MONTHLY SUBSCRIPTION TERMS, PROVIDES WRITTEN NOTICE OF NON-RENEWAL AT LEAST THIRTY (30) DAYS BEFORE THE NEXT MONTHLY RENEWAL DATE. If an Order includes introductory, phased, or ramp pricing, any renewal term will be billed at the final recurring monthly price in effect during the last month of the expiring Subscription Term, unless the applicable Order expressly states a different renewal price. Empath may modify renewal pricing upon sixty (60) days’ written notice prior to the start of a renewal term.
6.1.2. Partner Opt-Out Window. For Subscription Terms longer than one (1) month, Partner may elect to prevent automatic renewal by delivering written notice to Empath via email to help@empathmsp.com no earlier than ninety (90) days and no later than thirty (30) days before the expiration of the then-current term. In that notice, Partner may elect one of the following:
(a) Cancellation – the applicable Order will terminate effective on the term-expiration date; or
(b) Term Conversion – Partner may request conversion to a different Subscription Term length or billing arrangement (e.g., conversion from an annual term to a monthly term, or from a multi-year term to an annual term). Any such conversion is subject to mutual agreement between Partner and Empath’s Partner Success team and will be governed by a new Order reflecting the agreed-upon term, pricing, and commercial terms, which may differ from Partner’s then-current rates. Empath is under no obligation to offer or accept any particular conversion terms. A conversion request that is not finalized in a new Order prior to the term-expiration date will not prevent automatic renewal under Section 6.1.1.
For clarity, Partner may not terminate or opt out of the then-current Subscription Term; any opt-out election applies only to the upcoming renewal. All opt-out notices must be submitted to help@empathmsp.com; notices submitted through any other channel will not constitute valid notice under this Section.
6.1.3. Failure to Opt Out. If Partner does not deliver a valid opt-out notice within the window specified in Section 6.1.2, the Subscription shall automatically renew in accordance with Section 6.1.1, and Partner shall be bound for the full duration of the renewal term.
6.2. Binding Nature of Subscription Term. PARTNER EXPLICITLY ACKNOWLEDGES AND AGREES THAT EACH SUBSCRIPTION TERM (WHETHER AN INITIAL TERM OR A RENEWAL TERM) IS BINDING AND MAY NOT BE TERMINATED BY PARTNER FOR ANY REASON DURING SUCH TERM, EXCEPT AS EXPRESSLY SET FORTH IN SECTION 6.4 (TERMINATION FOR CAUSE). PARTNER’S OBLIGATION TO PAY ALL FEES FOR THE FULL SUBSCRIPTION TERM IS ABSOLUTE AND UNCONDITIONAL.
6.3. Empath Termination Right. Empath may terminate this Agreement or any Order at any time, for any reason, upon written notice to Partner. Termination will be effective on the date specified in Empath’s notice. Upon such termination, Partner remains responsible for all fees accrued for services provided through the effective termination date. Any accrued but unpaid amounts will be invoiced and paid in accordance with the regular monthly billing and payment cycle under this Agreement. For clarity, Partner is not obligated to pay fees for any period after the effective termination date.
6.4. Termination for Cause. Either party may terminate this Agreement (including all related Orders) if the other party: (a) fails to cure any material breach of this Agreement (including a failure to pay undisputed Fees) within thirty (30) days after written notice; (b) ceases operation without a successor; or (c) seeks protection under any bankruptcy, receivership, trust deed, creditors’ arrangement, composition, or comparable proceeding, or if any such proceeding is instituted against that party and is not dismissed within 60 days. Except where an exclusive remedy is specified, the exercise of either party of any remedy under this Agreement, including termination, will be without prejudice to any other remedies it may have under this Agreement, by law or otherwise.
6.5. Survival. The following Sections will survive any expiration or termination of this Agreement: 1.4 (Use and Restrictions), 3 (Intellectual Property), 4 (Confidentiality), 5.1 (Fees and Payment), 5.3 (Taxes), 6 (Term, Auto-Renewal, and Termination), 7.2 (Warranty Disclaimer), 9 (Indemnification), 10 (Limitation of Remedies and Damages) and 11 (General Terms).
6.6. Suspension of Service. In addition to any of its other rights or remedies (including, without limitation, any termination rights) set forth in this Agreement, Empath reserves the right to suspend provision of services: (a) if Partner is thirty (30) days or more overdue on an undisputed payment; (b) if Empath deems such suspension necessary as a result of Partner’s breach of Section 1.4 (Use and Restrictions) or 2.3 (Partner Data Integrity); (c) if Empath reasonably determines suspension is necessary to avoid material harm to Empath or its other customers, including if the Services are experiencing denial of service attacks, mail flooding, or other attacks or disruptions outside of Empath’s control; or (d) as required by law or at the request of governmental entities. Empath shall promptly reinstate the Services once the threat has abated or upon Partner’s cure of such breach (as applicable), subject to Empath’s exercise of any termination right or other remedy available to Empath under this Agreement.
7.0 WARRANTIES
7.1. Compliance. Each Party shall comply with applicable law in the performance of this Agreement.
7.2. Services Warranty. Empath warrants that it will perform the Services in a professional and workmanlike manner, and that the Services will operate in substantial conformity with the applicable Documentation and this Agreement. In the event of a breach of this warranty, Empath will use commercially reasonable efforts to correct the reported non-conformity, at no charge to Partner, or if Empath determines such remedy to be impracticable, either party may terminate the applicable Order and Partner will receive a refund of any unused Fees Partner has pre-paid for the Services purchased thereunder. The foregoing shall be Partner’s sole and exclusive remedy for any breach of the warranty set forth in this Section. This warranty shall only apply: (a) if Partner makes a claim within thirty (30) days of the date on which Partner first became aware of the non-conformity; (b) the Services have been properly installed and used at all times in accordance with this Agreement and the applicable Documentation; (c) no modification, alteration or addition has been made to the Services by persons other than Empath or its authorized representative; and (d) a defect in or malfunction of the Services have not been caused by Partner or its facilities, equipment or software, or third party software or equipment.
7.3. Warranty Disclaimer. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 7, EMPATH AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL OTHER WARRANTIES WITH RESPECT TO THE SERVICES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. PARTNER MAY HAVE OTHER STATUTORY RIGHTS, BUT THE DURATION OF STATUTORILY REQUIRED WARRANTIES, IF ANY, SHALL BE LIMITED TO THE SHORTEST PERIOD PERMITTED BY LAW.
8.0 SUPPORT
During a Subscription Term, Empath will provide Partner with support as described at https://Empath.help
9.0 INDEMNIFICATION
9.1. Indemnification by Partner. Partner will defend Empath from and against any claim by a third party arising from or relating to any allegation that Partner Data or any product or service provided by Partner in connection with or related to the Services, excluding any claim that results from Empath’s (including its employees’ or subcontractors’), negligence willful misconduct, or breach of this Agreement or to the extent based on any claim that any portion of the Services infringes or misappropriates the intellectual property rights of a third party, and will indemnify Empath from and against any damages and costs awarded against Empath or agreed in settlement by Partner (including reasonable attorneys’ fees) resulting from such claim.
9.2. Indemnification by Empath. Empath will defend Partner from and against any claim by a third party arising from or relating to any allegation that the Services that are used by Partner in accordance with this Agreement infringe or misappropriate any third party intellectual property right, and will indemnify Partner from and against any damages and costs awarded against Partner or agreed in settlement by Empath (including reasonable attorneys’ fees) resulting from such claim. In the event of any such claim, Empath shall also, at its option and expense: procure for Partner the right to continue using the Services that are the subject of the claim. Empath shall have no liability to indemnify Partner: (i) in the event the allegation of infringement is a result of a modification of the Service made by anyone other than Empath or Empath’s subcontractors, (ii) if the Services are not being used in accordance with Empath’s specifications, related documentation and guidelines, and would not have otherwise occurred with the proper use thereof, (iii) if the alleged infringement would be avoided or otherwise eliminated by the use of a Empath published update or patch provided at no additional charge, (iv) a claim against Partner arises from a Non-Empath application or Partner’s breach of this Agreement, the Documentation or applicable Order, or (v) if the alleged infringement results from Partner’s or its authorized representatives’ use of the Service in combination with any third party product. The indemnifications contained herein shall not apply and Empath shall have no liability in relation to any Services produced by Empath at the specific direction of Partner.
9.3 THE FOREGOING PROVISIONS STATE THE ENTIRE LIABILITY AND OBLIGATIONS OF EMPATH REGARDING CLAIMS OF INFRINGEMENT, AND THE EXCLUSIVE REMEDY AVAILABLE TO PARTNER WITH RESPECT TO ANY ACTUAL OR ALLEGED INFRINGEMENT OR MISAPPROPRIATION OF ANY INTELLECTUAL PROPERTY OR OTHER PROPRIETARY RIGHTS.
10.0 LIMITATION OF REMEDIES AND DAMAGES
EXCEPT FOR LOSSES ARISING FROM: (I) MISAPPROPRIATION OR UNAUTHORIZED USE OF EMPATH INTELLECTUAL PROPERTY BY PARTNER; (II) THE PARTIES’ INDEMNIFICATION OBLIGATIONS IN SECTION 9 (INDEMNIFICATION); OR (III) BODILY INJURY, DEATH OR TANGIBLE PROPERTY DAMAGES ARISING FROM A PARTY’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT ((I), (II) AND (III), COLLECTIVELY, THE “LIABILITY EXCEPTIONS”), OR (IV) ANY LOSSES ARISING FROM A PARTY’S BREACH OF SECTION 4.0 (CONFIDENTIALITY), PROVIDED THAT NEITHER PARTY’S LIABILITY FOR DAMAGES PURSUANT TO THIS CLAUSE (IV) WILL EXCEED THE LIABILITY CAP, UNDER NO CIRCUMSTANCES SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY LOSS OF PROFITS, LOSS OF DATA, EQUIPMENT DOWNTIME, OR FOR ANY INDIRECT, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, OR SPECIAL DAMAGES RELATING TO OR ARISING OUT OF THIS AGREEMENT OR ANY ORDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EXCEPT FOR LOSSES ARISING FROM THE LIABILITY EXCEPTIONS, EITHER PARTY’S TOTAL CUMULATIVE LIABILITY IN CONNECTION WITH THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (1) $10,000 OR (2) TOTAL AMOUNT OF PARTNER’S PAYMENTS TO EMPATH FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE CLAIM (WHETHER PAID DIRECTLY TO EMPATH OR TO RESELLER) (THE “LIABILITY CAP”). NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, THE LIMITATIONS ON THE TYPE AND AMOUNT OF LIABILITY IN THIS SECTION 10 SHALL NOT APPLY TO LOSSES RESULTING FROM A PARTY’S GROSS NEGLIGENCE, FRAUD OR WILLFUL MISCONDUCT. THE PARTIES AGREE THAT THIS SECTION 10 REPRESENTS A REASONABLE ALLOCATION OF RISK AND THAT WITHOUT PARTNER’S AGREEMENT TO THESE LIMITATIONS, THE FEES CHARGED FOR THE SERVICES WOULD BE HIGHER. THE FOREGOING PROVISIONS SHALL BE ENFORCEABLE TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. THE PARTIES AGREE THAT THE WAIVERS AND LIMITATIONS SPECIFIED IN THIS SECTION 10 WILL SURVIVE AND APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WILL SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY SPECIFIED IN THIS AGREEMENT IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
11.0 GENERAL TERMS
11.1. Assignment. Partner may not assign, delegate or transfer this Agreement, in whole or in part, or any of its rights or duties hereunder without the prior written consent of the other Party, provided that Partner may assign this Agreement to an Affiliate of Partner or a successor in interest in connection with the sale or transfer of all or substantially all of Partner’s assets upon prior written notice to Empath, but without Empath’s prior consent. Empath may assign this Agreement without restriction. Any attempted assignment in violation of this Agreement is void.
11.2. Severability; Interpretation. If a court of competent jurisdiction holds any provision of this Agreement to be unenforceable or invalid, that provision will be limited to the minimum extent necessary so that this Agreement will otherwise remain in effect. Section headings are inserted for convenience only and shall not affect the construction of the agreement.
11.3. Governing Law; Jurisdiction and Venue. This Agreement and all matters arising out of or relating to this Agreement shall be governed by the laws of the State of Florida, excluding its conflict of law provisions. All disputes arising under this Agreement shall be brought exclusively in the state and federal courts located in Florida, and Partner hereby submits to the personal jurisdiction of the above courts. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods is specifically excluded from application to this Agreement. IN THE EVENT OF ANY DISPUTE BETWEEN THE PARTIES IN ANY COURT IN ANY JURISDICTION, THE PARTIES HEREBY KNOWINGLY AND VOLUNTARILY, AND HAVING HAD AN OPPORTUNITY TO CONSULT WITH COUNSEL, WAIVE ALL RIGHTS TO TRIAL BY JURY, AND AGREE THAT ANY AND ALL MATTERS SHALL BE DECIDED BY A JUDGE WITHOUT A JURY TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW.
11.4. Notice. Any notice or communication required or permitted under this Agreement will be in writing to the parties at the addresses or email addresses set forth in an Order, through the self-service portal where expressly permitted, or at such other address or email address as may be given in writing by either party to the other in accordance with this Section and will be deemed to have been received by the addressee: (a) if given by hand, immediately upon receipt; (b) if given by overnight courier service, the first business day following dispatch; (c) if given by registered or certified mail, postage prepaid and return receipt requested, the second business day after such notice is deposited in the mail; or (d) if given by email, when sent unless the sender receives notice of failed delivery; provided that notices of non-renewal, end-of-term cancellation, billing matters, and routine operational notices may be given by email or through the self-service portal, and notices related to claims, indemnity demands, or litigation may not be given solely through the portal.
11.5. Amendments; Waivers. No supplement, modification, or amendment of this Agreement or an Order will be binding unless set forth in a writing or electronic record and, as applicable, executed or electronically accepted by the parties. For clarity, this Agreement and any Order may be accepted, supplemented, or amended through electronic signature, click-wrap, click-through, a single checkbox assent mechanism, or a similar online acceptance mechanism that clearly references the applicable terms. No waiver will be implied from conduct or failure to enforce or exercise rights under this Agreement, nor will any waiver be effective unless in a writing signed by a duly authorized representative on behalf of the party claimed to have waived. No terms or conditions stated in a Partner purchase order or any other Partner order documentation (excluding Orders) shall be incorporated into or form any part of this Agreement, and all such terms or conditions shall be null and void, notwithstanding any language to the contrary therein, whether signed before or after this Agreement.
11.5.1. Updates to Terms. Empath reserves the right to update or modify these Terms of Service from time to time. Empath will provide Partner with at least thirty (30) days’ prior written notice of any material changes. Partner’s continued use of the Services after the effective date of any such changes constitutes Partner’s acceptance of the updated Terms. If Partner does not agree to the updated Terms, Partner’s sole remedy is to exercise its opt-out right in accordance with Section 6.1.2, if applicable, or to terminate the Agreement in accordance with Section 6.4.
11.6. Entire Agreement. This Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements and communications relating to the subject matter of this Agreement, including without limitation any prior licensing agreements between the parties. In the event of a conflict between the terms of this Agreement and an Order, the Order will control solely with respect to the Services ordered, quantities, seat counts, Subscription Term, renewal election, pricing, ramp pricing, billing cadence, and other commercial terms expressly stated in the Order, and this Agreement will control in all other respects.
11.7. Third Party Beneficiaries. There are no third-party beneficiaries under this Agreement.
11.8. Force Majeure. Neither party will be liable to the other for any delay or failure to perform any obligation under this Agreement (except for a failure to pay Fees) if the delay or failure results from any cause beyond such party’s reasonable control, including acts of God, labor disputes or other industrial disturbances, systemic electrical, telecommunications, or other utility failures, earthquake, storms or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war (“Force Majeure Event”).
11.9. Independent Contractors. The parties to this Agreement are independent contractors. There is no relationship of partnership, joint venture, employment, franchise or agency created hereby between the parties. Neither party will have the power to bind the other or incur obligations on the other party’s behalf without the other party’s prior written consent.
11.10. Export Control. Partner agrees to comply with all export and import laws and regulations of the United States and other applicable jurisdictions. Without limiting the foregoing: (a) Partner represents and warrants that it is not listed on any U.S. government list of prohibited or restricted parties or located in (or a national of) a country that is subject to a U.S. government embargo or that has been designated by the U.S. government as a “terrorist supporting” country; (b) Partner will not (and will not permit any third parties to) access or use any Service in violation of any U.S. export embargo, prohibition or restriction; and (c) Partner will not submit to the Services any information that is controlled under the U.S. International Traffic in Arms Regulations.
11.11. Federal Government End Use Provisions. Empath provides the Services, including all related software and, to the extent applicable the Empath Technology, for ultimate federal government end use solely in accordance with the following: Government technical data and software rights related to the Service include only those rights customarily provided to the public as defined in this Agreement. This customary commercial license is provided in accordance with FAR 12.211 (Technical Data) and FAR 12.212 (Software) and, for Department of Defense transactions, DFAR 252.227-7015 (Technical Data Commercial Items) and DFAR 227.7202-3 (Rights in Commercial Computer Software or Computer Software Documentation). If a government agency has a need for rights not granted under these terms, it must negotiate with Empath to determine if there are acceptable terms for granting those rights, and a mutually acceptable written addendum specifically granting those rights must be included in any applicable agreement.
11.12. Electronic Acceptance and Records. Partner acknowledges and agrees that by checking the acceptance box on Empath’s self-service portal at the time of purchase, Partner is providing legally binding consent to all terms and conditions of this Agreement, including without limitation the automatic renewal provisions of Section 6.1.1, the binding nature provisions of Section 6.2, and the fee and pricing provisions of Section 5. Empath may maintain records of Partner’s acceptance of this Agreement and any Order, including the date and time of acceptance, the IP address, the identity of the accepting user, the version of the Agreement presented, the text or version of the checkbox or checkout disclosure presented, the selected Subscription Term, renewal term length, pricing, ramp schedule, seat counts, payment authorization, Order details, and related transaction data. Partner agrees that a single checkbox or similar assent mechanism presented in connection with checkout may evidence Partner’s affirmative consent to this Agreement and the applicable Order, including the recurring billing and automatic renewal terms. Partner’s electronic acceptance shall have the same legal force and effect as a handwritten signature. Partner agrees that such electronic records and reproductions will be deemed part of the parties’ books and records and will be admissible in any proceeding to the same extent as original paper records.
